Founding Seats Terms.

The terms of the Founding Seats programme, in plain language. Please read them before you apply.

The offer

DSRPTERZ offers up to five brands (each a "Founding Brand") a Founding Seat: 60 days of brand creation, content strategy and marketing support with no agency fees (the "Programme"), in exchange for structured feedback that helps us improve our internal workflows. These terms, together with the written scope we agree with you, form our agreement. If they conflict, the written scope prevails.

Eligibility and selection

Applicants must be a business or an individual acting for a business, aged 18 or over, with authority to commit that business. We choose Founding Brands at our discretion, considering fit, readiness to launch or grow, and the ability to commit a decision-maker to weekly sessions and to fund media spend. Applying does not guarantee a seat. Seats are limited to five.

Scope of work

Before the Programme starts, we agree in writing what is included, which may cover brand positioning and identity, brand assets, a content strategy and production system, and campaign setup, launch and optimisation. Anything not listed is out of scope and would need a separate agreement. The 60 days start on the date we agree in writing.

Fees and media spend

There are no agency fees for the work in scope during the 60 days. You pay your own media spend directly or as agreed, and media buying fees at a fixed rate agreed in writing before any campaign goes live. You also pay for any third-party costs you approve in advance, such as licensed fonts, stock imagery, printing or software.

Your commitments

  • Join a weekly feedback session on how our human and AI workflows performed for you.
  • Make decisions within 48 hours so we can keep pace.
  • Provide the materials, access and approvals we need, and confirm you have the right to share them.
  • Allow us to document the work as a case study, subject to the Publicity section below.

Workflow improvement and your data

With your consent, given by accepting these terms, we use the briefs, feedback, outputs and performance results from your Programme to evaluate and improve our own internal workflows, prompts and methods. In doing so:

  • we keep your confidential information confidential and never sell it;
  • we use only what the improvement needs, and you can ask us to exclude any material;
  • we may use AI service providers, under the safeguards in our Privacy Policy, and choose settings that do not allow providers to train their models on your data where available;
  • anything we publish about what we learned, including in DSRPTERZ Labs, is anonymised unless you approve otherwise in writing.

You can withdraw this consent at any time. If you do, we will stop using your material for workflow improvement, although the Programme may end if the exchange can no longer work.

Ownership

When each deliverable is completed and handed over, the rights in the final brand assets we create specifically for you transfer to you. We keep ownership of our workflows, prompts, templates, methods, tools and anything we created before or independently of the Programme, and we may reuse general know-how. Third-party materials, such as licensed fonts and stock imagery, remain subject to their own licences, which we will identify. We may keep copies of the work for our records and portfolio.

Case studies and publicity

You allow us to show the work in our portfolio, case studies and Labs. Until your brand launches, we will label it as a brand concept and will not publish unreleased information you ask us to hold back. We will not publish results without labelling how they were sourced. You can ask us to delay publication until launch.

Day 61

At the end of the 60 days, you choose either to continue at the founding rate agreed before you started, under a new written agreement, or to end the Programme and keep the finished brand assets delivered. There is no lock-in and no fee for leaving.

Ending early

Either party may end the Programme early with seven days' written notice. Finished deliverables handed over before the end date are yours. We may end it immediately if you seriously breach these terms, including by not paying agreed media or third-party costs.

No guaranteed results

We will do the work with skill and care, but marketing results depend on many factors outside our control. We do not guarantee any particular sales, reach or engagement.

Liability

Because the Programme is provided without agency fees, to the extent the law allows our total liability arising from it is limited to the media buying fees you paid us under it. We are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill. Nothing limits liability that cannot be limited by law.

Governing law

These terms are governed by the laws of the Arab Republic of Egypt, and the courts of Cairo have jurisdiction.
